[01] OVERVIEW

These Service Terms govern creative services provided by Kelsdsgn, including branding, visual design, rollout graphics, websites, creative direction, merch-related visuals, digital assets, consultations, and related creative services.

By booking, onboarding, paying for, or participating in a project with Kelsdsgn, clients acknowledge and agree to these Service Terms.

[02] PROJECT ONBOARDING

Projects officially begin once the required onboarding steps are completed.

Depending on the project, onboarding may include a completed inquiry form, signed agreement, payment confirmation, timeline approval, project brief, references, branding assets, or required account access.

Kelsdsgn reserves the right to decline, pause, postpone, or discontinue a project before onboarding is completed.

[03] PAYMENTS

Projects may require a deposit, partial upfront payment, milestone payments, or full payment upfront depending on the scope of work.

Unless otherwise agreed in writing, remaining balances must be paid before final files, exports, website handoff materials, release-ready assets, or completed deliverables are transferred to the client.

Failure to complete payment may result in paused work, delayed delivery, withheld deliverables, or project cancellation.

[04] TIMELINES

Estimated timelines provided by Kelsdsgn are approximate and may vary depending on project scope, revision rounds, communication, client delays, technical limitations, holidays, business-day schedules, or other external factors.

Project timelines may be adjusted if required materials or approvals are delayed, revision requests expand beyond the agreed scope, communication becomes inactive, or project direction changes significantly.

Business days exclude weekends unless otherwise agreed.

[05] REVISIONS & PROJECT SCOPE

Unless otherwise stated in the project agreement or onboarding documentation, revision rounds are limited according to the approved scope of work.

Revisions are intended to refine the agreed creative direction rather than restart the project or repeatedly change an approved direction.

Requests outside the agreed scope, including additional assets, expanded deliverables, additional pages, new visual systems, or significant concept changes, may require additional fees, updated timelines, or a revised agreement.

Kelsdsgn reserves the right to decline excessive, conflicting, abusive, or unreasonable revision requests.

[06] CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate project information, supplying required assets or materials, maintaining communication, reviewing updates within reasonable timeframes, securing the necessary rights to any assets they provide, and maintaining any third-party accounts or subscriptions associated with their projects.

For website-related projects, clients are responsible for maintaining their own domain, publishing accounts, subscriptions, renewals, and other platform-related expenses required to keep their website active.

[07] FILE DELIVERY & STORAGE

Project files and deliverables may be delivered through cloud-storage providers, shared-drive systems, or temporary file-transfer services.

Clients are responsible for downloading, backing up, and maintaining their own copies of delivered files after delivery.

Unless otherwise agreed in writing, Kelsdsgn does not guarantee indefinite storage or permanent access to completed project files.

[08] WEBSITE PROJECTS

Website projects may require clients to create and maintain accounts with third-party platforms used for website building, publishing, hosting, domains, or other related services.

Kelsdsgn is not responsible for third-party platform outages, hosting issues, account limitations, publishing restrictions, subscription interruptions, or future platform changes.

Clients remain responsible for maintaining active subscriptions, domain renewals, and publishing access required for their websites to remain online after project completion.

[09] LATE FEES & OVERDUE BALANCE

Certain projects may include overdue fees or late-payment charges as outlined in invoices, project agreements, or onboarding documentation.

Unless otherwise stated, overdue fees may apply on business days only.

Failure to resolve overdue balances may result in paused work, delayed delivery, withheld deliverables, or project cancellation.

[10] ABANDONED PROJECTS

Projects that remain inactive for an extended period due to delayed communication, missing approvals, unpaid balances, or client inactivity may be considered abandoned at Kelsdsgn’s discretion.

Abandoned projects may be paused, archived, or permanently closed. Reactivating an abandoned project may require additional fees, an updated timeline, or rebooking depending on the project status.

Kelsdsgn is not responsible for maintaining inactive projects indefinitely.

[11] REFUNDS

Refund requests are handled on a case-by-case basis.

Due to the time-based and creative nature of Kelsdsgn’s services, deposits, completed work, research, revisions, strategy, or delivered assets may be non-refundable depending on the project’s progress and circumstances.

Any additional refund conditions may be outlined separately within the project agreement or invoice.

[12] PORTFOLIO RIGHTS

Unless otherwise protected by a written NDA or confidentiality agreement, Kelsdsgn reserves the right to display completed or partially completed project work across its portfolio, website, social media, presentations, case studies, or promotional materials.

This may include branding systems, visuals, layouts, website previews, rollout materials, and related creative deliverables.

[13] TERMINATION OF SERVICE

Kelsdsgn reserves the right to pause, decline, or terminate services in situations involving abusive behavior, repeated policy violations, non-payment, fraudulent activity, harmful communication, or unreasonable project conduct.

In these situations, outstanding balances for completed work or work already in progress may still remain payable.

[14] LIMITATION OF LIABILITY

To the fullest extent permitted under applicable law, Kelsdsgn shall not be liable for indirect damages, project delays caused by third-party services, website or platform interruptions, client-side publishing issues, lost revenue, data loss, or damages resulting from the misuse of delivered files or assets.

[15] MODIFICATIONS

Kelsdsgn reserves the right to modify or update these Service Terms at any time.

When changes are made, the updated version will be published with a revised “Last updated” date.

Continued use of Kelsdsgn services after updates are published constitutes acceptance of the revised Terms.
